By downloading, installing, accessing, or using Darwin ("the App"), you agree to these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the App.
Darwin is a task prioritization app that helps you capture tasks, compare work side by side, build ranked task lists, plan focus sessions, and review progress. The App is provided by Phoenix Strategies LLC ("we", "us", "our").
You may use some parts of Darwin in guest mode, but account sync, purchases, and some features require sign-in with Apple, Google, or a passwordless email link. You are responsible for maintaining the security of your account and for all activity under it.
You retain ownership of tasks, goals, notes, rankings, schedules, focus sessions, imported reminders, voice transcripts, and other content you create or save in Darwin ("User Content"). You grant us a limited license to host, store, process, sync, back up, display, and transmit User Content solely as needed to operate Darwin and provide the features you choose to use.
You are responsible for your User Content and for making sure you have the rights and permissions needed to enter it into Darwin.

The App, including its design, code, animations, and branding, is the property of Phoenix Strategies LLC and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the App.
Darwin may offer paid features through Darwin Pro subscriptions, free trials, promotional offers, or one-time purchases. Prices, billing periods, renewal terms, and included features are shown in the App Store purchase sheet before you buy.
Purchases are processed by the App Store and managed through your Apple account. Subscriptions renew automatically unless canceled at least 24 hours before the end of the current billing period. You can manage or cancel subscriptions in your App Store account settings. Refunds are handled by Apple except where applicable law requires otherwise.
RevenueCat helps Darwin validate receipts and sync subscription entitlements. If purchase restoration fails, contact support and include the approximate purchase date and product selected.
Darwin may provide local, on-device AI features, ranking explanations, suggestions, or summaries. These features are designed to help you think through priorities, but they are not professional, legal, financial, medical, mental health, or safety advice. You are responsible for deciding what to do with any recommendation or output.
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.
We strive to keep the App available at all times, but we do not guarantee uninterrupted access. We may modify, suspend, or discontinue the App at any time without prior notice. We are not liable for any downtime or service interruptions.
The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, Phoenix Strategies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with your use of the App.
We may update these Terms from time to time. Changes will be posted on this page with an updated revision date. Continued use of the App after changes constitutes acceptance of the updated Terms.
We reserve the right to suspend or terminate your access to the App at any time, for any reason, without prior notice. Upon termination, your right to use the App ceases immediately.
If you downloaded Darwin from the App Store, your use of the App is also subject to Apple's applicable App Store terms and policies, including Apple's standard end user license terms where they apply.
These Terms are governed by the laws of the State of Rhode Island, without regard to its conflict of law principles.
